Maybe a kernel bug then.  What kernel version are you running?
Or possibly a network hardware problem, since that hardware wouldn't be 
exercised by the memory test.  I think it could still be a motherboard 
issue too.

The best way to diagnose this is to find a way to reliably reproduce the 
problem, then start swapping things out (e.g. kernels or network cards) 
to see what changes can make it go away and what changes can make it come 
back.
